**The truth no one wants to hear:** Most apps are unsellable, not because they're bad, but because their founders never thought about what a buyer actually cares about.

After years in the app business and dozens of conversations with buyers and sellers, I know this: **The best time to think about your exit is BEFORE you write the first line of code.** The second best time is today.

## The App Acquisition Market 2026: Reality Check

The mobile app market is massive: **$150 billion in consumer spending** in 2024, with 68% on iOS alone. Subscription revenue hit $66.8 billion. Sounds like an El Dorado for app sellers, right?

Not quite.

### Where Apps Get Bought and Sold

**The major marketplaces:**

- **Flippa**, The eBay for digital assets. Good for smaller apps ($10k-$500k)
- **Acquire.com**, Focus on SaaS and profitable businesses. More serious buyers, higher valuations
- **Empire Flippers**, For established apps with proven track records
- **Direct Acquisitions**, Strategic buyers (tech companies, PE firms) often come direct

**The uncomfortable statistic:** For every successful app exit on these platforms, there are dozens of listings that never find a buyer. Why? Because sellers don't understand what buyers are looking for.

## How Is an App Valued? The Revenue Multiple Truth

Forget fancy DCF models and complicated formulas. In practice, almost every app valuation comes down to a simple formula:

**Valuation = Annual Profit × Multiple**

### The Multiples (2026):

| **App Type** | **Typical Multiple** | **Conditions** |
| --- | --- | --- |
| Gaming Apps | 1.5 - 2.5x | High volatility |
| Utility Apps | 2 - 3x | Stable revenue |
| Subscription Apps | 3 - 5x | Low churn rate |
| SaaS-like B2B Apps | 4 - 8x | Recurring revenue |

### What Affects the Multiple:

**Upward pressure:**

- Recurring revenue (Subscriptions > IAPs > Ads)
- Growth rate (>20% YoY is attractive)
- Low owner dependency
- Diversified traffic sources
- Clean tech and documentation

**Downward pressure:**

- Single platform dependency (iOS-only or Android-only)
- One customer makes >25% of revenue
- Founder is irreplaceable for daily operations
- Outdated tech or technical debt
- Unclear rights (assets, code, trademarks)

### A Realistic Example:

Your app makes €8,000/month profit (€96,000/year) with stable subscriptions and 5% monthly churn.

**Optimistic valuation:** €96,000 × 4 = €384,000 **Realistic valuation:** €96,000 × 2.5-3 = €240,000 - €288,000

Why the difference? Because buyers price in risk. And they ALWAYS find something during due diligence.

## What Buyers ACTUALLY Want (The Unfiltered List)

After hundreds of conversations with app buyers, from indie developers to PE firms, here's what they're looking for:

### 1. Proven, Stable Cash Flow

Buyers want to see numbers. Not projections, not "potential", real numbers. Which metrics I watch daily myself are in [**activation metrics that matter**](https://robocitrus.com/en/blog/activation-metrics-die-zaehlen).

**What they require:**

- 12-24 months revenue history
- Verifiable data (App Store Connect, Play Console, Stripe)
- Understanding of unit economics (CAC, LTV, Churn)

**Red Flag:** "The app just launched, but the potential is huge.", That's not a business, that's a hobby with hope.

### 2. Transferability

The best app in the world is worthless if it can't function without the founder.

**Buyers ask themselves:**

- Can I take this over tomorrow and run it?
- How many hours per week does the business need?
- Are there documented processes?
- Is the tech stack standard or exotic?

### 3. Growth Potential

Nobody buys an app to shrink it. Buyers look for leverage:

- Untapped markets (internationalization)
- Missing features that enable upselling
- Inefficient marketing (= optimization potential)
- Cross-sell opportunities with existing portfolio

### 4. Defensible Position

What stops someone from rebuilding your app in 3 months?

**Good answers:**

- Network effects
- Proprietary data
- Strong brand/community
- High switching costs for users

**Bad answer:** "We were just first to market."

### 5. Clean Legal Situation

Nothing kills a deal faster than legal uncertainties.

**Must-haves:**

- Clear IP ownership (code, assets, trademarks)
- GDPR/Privacy compliance
- Clean license usage (no pirated assets)
- Transferable contracts

---

## The Due Diligence Process: What to Expect

When a buyer is seriously interested, due diligence begins. Expect EVERYTHING to be scrutinized:

### Financial Due Diligence

- **Revenue verification:** Access to App Store Connect, payment providers, bank statements
- **Cost structure:** Servers, tools, marketing spend, freelancers
- **Trends:** Is the business growing or stagnating?
- **Seasonality:** Are there peaks and valleys?

### Technical Due Diligence

- **Code review:** Is the code maintainable? Security vulnerabilities?
- **Tech stack:** Current or legacy? Vendor lock-in?
- **Documentation:** Can a new developer jump in?
- **Dependencies:** Third-party services, API dependencies

### Legal Due Diligence

- **IP ownership:** Who owns what? Contractor agreements?
- **Privacy/Compliance:** GDPR, CCPA, App Store Guidelines
- **Existing contracts:** Can they be transferred?
- **Pending issues:** Ongoing disputes, copyright claims

### Operational Due Diligence

- **Customer support:** How much effort? Can it be outsourced?
- **Traffic sources:** Organic vs. paid? Dependency on one channel?
- **Team:** Who's involved? Does anyone stay post-sale?

## Checklist: Is My App Sellable?

Before you even think about selling, go through this list:

### Minimum Viable Exit (Basic Requirements):

- At least 12 months of consistent revenue
- Profitable or clear path to profitability
- All assets and IP belong to you (or your company)
- No critical single point of failure
- Documented processes for daily operations

### Exit-Ready (Higher Multiple):

- 24+ months revenue history with growth
- Recurring revenue >50% of total revenue
- Churn rate under 5% monthly
- Diversified user acquisition (not just one channel)
- Tech stack current and well documented
- Runs <10h/week without founder involvement

### Premium Exit (Top Multiples):

- Strong YoY growth (>30%)
- Network effects or strong retention
- Defensible moat (brand, data, community)
- Team that can guide the transition
- Scalable growth levers identified

**Reality check:** If you can check fewer than 5 points, focus on improving the business first, not selling it.

## The Most Common Mistakes When Selling Apps

### Mistake 1: Unrealistic Valuation Expectations

"But Instagram sold for $1 billion!"

Yes. With 30 million users and exponential growth. Your app with €5k MRR is not Instagram.

**Solution:** Look at comparable sales on Flippa/Acquire.com. The reality is sobering but important.

### Mistake 2: Wanting to Sell Too Early

Many founders want to sell because they're tired, not because it's the right time.

**The irony:** Apps sell best when they're doing well. Exactly when you don't actually want to sell.

### Mistake 3: No Exit Preparation

Selling an app is like selling a house. You clean up, paint the walls, fix what's broken. Before due diligence, not during.

**Plan 6-12 months for exit prep:**

- Clean up financials
- Document processes
- Fix loose ends
- Reduce dependencies

### Mistake 4: Choosing the Wrong Buyer

Not every buyer is equal. A strategic buyer pays more, but the process takes longer. An indie buyer is faster but has less budget.

**Ask yourself:** What's more important, maximum price or a quick, clean deal?

---

## Exit Alternatives: Selling Isn't the Only Option

### Alternative 1: Lifestyle Business

Not every app needs to be sold. A profitable app requiring 10h/week can generate cash flow for years.

### Alternative 2: Acqui-Hire

Sometimes buyers don't want your app, they want you and your team. The app is more of a signing bonus.

### Alternative 3: Management Buyout

Your team or a partner takes over the business. Often faster and less complicated than an external sale.

### Alternative 4: Strategic Partnership

Instead of selling, enter a partnership. You keep equity but gain resources and reach.

---

## Conclusion: Exit Starts on Day 1

The best exit strategy is no secret: **Build an app you don't want to sell because it's running so well.**

If from the start you build an app that:

- Generates recurring revenue
- Functions without you
- Is documented and clean
- Provides real value

...then you either have a profitable lifestyle business or an attractive acquisition target. Win-win.

**The uncomfortable truth in closing:** Most apps never get sold. Not because they're not good enough, but because they were never prepared for it.

Start working on that today. Your future self (and your potential buyer) will thank you.
